Please read these terms carefully before using our services. By engaging QuantBridge AI, you agree to these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you" or "Client") and QuantBridge AI ("Company," "we," "us," or "our") concerning your access to and use of our website and services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are expressly prohibited from using our services.

2. Services Description

QuantBridge AI provides the following services to business clients:

  • Financial Services: Financial modeling, valuations, pitchbooks, investment memorandums, due diligence support, market research, and related financial analysis services
  • AI Automation Services: Custom AI bot development, business process automation, workflow automation, document automation, and related AI/ML solutions

All services are provided by professionals with 10+ years of industry experience and are delivered according to the specific Statement of Work (SOW) agreed upon for each engagement.

3. Engagement Process

Our standard engagement process consists of the following steps:

  • Initial Inquiry: Client submits requirements through our contact form or scheduling system
  • Discovery Call: We conduct a one-on-one call to understand client needs in detail
  • Proposal: We provide a detailed proposal including scope, timeline, and pricing
  • Client Approval: Client reviews and approves the proposed solution
  • Statement of Work: A detailed SOW is prepared and agreed upon
  • Agreement: A formal service agreement is signed by both parties
  • Execution: Work commences according to the agreed SOW

No work begins without the client's explicit written approval and signed agreement.

4. Payment Terms

Payment terms are specified in each individual Statement of Work and Service Agreement. General terms include:

  • Payment schedules are defined in the SOW (may include deposits, milestone payments, or completion payments)
  • All fees are quoted in US Dollars unless otherwise specified
  • Invoices are due within the timeframe specified in the agreement (typically Net 15 or Net 30)
  • Late payments may be subject to interest charges as specified in the agreement
  • We reserve the right to suspend work on accounts with overdue payments

5. Confidentiality

We take confidentiality seriously. Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the engagement.

  • All team members sign confidentiality agreements
  • Non-Disclosure Agreements (NDAs) are signed before any confidential information is shared
  • Client data and materials are used solely for the purpose of delivering contracted services
  • We do not share client information with third parties without explicit consent
  • Confidentiality obligations survive the termination of any engagement

6. Intellectual Property

Client Ownership

All custom work products created specifically for the client under a Statement of Work become the client's intellectual property upon full payment. This includes:

  • Custom financial models and analyses
  • Custom AI solutions and code developed for the client
  • Custom reports, presentations, and deliverables

Company Retained Rights

We retain rights to:

  • Pre-existing tools, methodologies, and frameworks used in delivering services
  • General knowledge, skills, and expertise gained during engagements
  • Anonymized and aggregated data for improving our services

7. Revisions and Modifications

Our commitment to quality includes reasonable revisions to ensure client satisfaction:

  • Revision rounds are included as specified in each SOW
  • Revisions must be within the original scope of work
  • Requests for changes outside the original scope will be quoted separately
  • We work iteratively and incorporate feedback throughout the engagement

8. Warranties and Disclaimers

Service Warranty: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimers:

  • Financial models and analyses are provided for informational purposes and should not be the sole basis for investment decisions
  • We do not guarantee specific business outcomes or results from our services
  • AI solutions are provided "as is" with ongoing support as specified in the agreement
  • We are not liable for decisions made based on our deliverables

9. Limitation of Liability

To the maximum extent permitted by law, QuantBridge AI's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Termination

Either party may terminate an engagement:

  • For Convenience: With written notice as specified in the service agreement (typically 14-30 days)
  • For Cause: Immediately upon material breach of the agreement that remains uncured after reasonable notice

Upon termination, client shall pay for all work completed up to the termination date. Any work product completed and paid for shall be delivered to the client.

11. Indemnification

Client agrees to indemnify and hold harmless QuantBridge AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Client's breach of these Terms or any agreement
  • Client's misuse of deliverables
  • Client's violation of any third-party rights
  • Any content or materials provided by client that infringe on third-party rights

12. Governing Law and Dispute Resolution

These Terms and any disputes arising from them shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform resulting from causes outside the reasonable control of such party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with any Statement of Work and Service Agreement, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior agreements and understandings.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

For active engagements, any changes to terms will be communicated directly and will not affect existing agreements without mutual written consent.
